Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the PhylaxVault website, software, and related services. By accessing, purchasing, downloading, or using PhylaxVault, you agree to be bound by these Terms.

PhylaxVault is an enterprise-grade email archiving and compliance software appliance designed to securely capture, process, index, archive, and preserve organizational email communications in a tamper-proof manner.

Acceptance of Terms

By using this website or purchasing PhylaxVault, you confirm that you have read, understood, and agree to comply with these Terms and all applicable laws and regulations.

If you do not agree, you must not access or use the website or software.

License

PhylaxVault grants customers a limited, non-exclusive, non-transferable, and revocable license to use the software for internal business purposes only, subject to these Terms and any applicable license agreement.

No ownership rights are transferred to the customer.

 Permitted Use

Customers may use PhylaxVault only for:

• Email archiving and retention
• Compliance and regulatory requirements
• Audit and eDiscovery purposes
• Information governance
• Secure indexing and retrieval
• Business continuity and record preservation

 Restrictions

Users agree not to:

• Reverse engineer, decompile, or disassemble the software
• Modify or create derivative works
• Bypass security or access controls
• Use the software for unlawful purposes
• Resell, sublicense, or distribute without written permission
• Access or attempt to access unauthorized data

Product Functionality Notice

PhylaxVault processes and stores emails in real time using journaling and SMTP-based ingestion and may integrate with systems such as Microsoft 365, Google Workspace, Exchange, LDAP, and Active Directory.

Key capabilities include:

• Tamper-proof email archiving
• Real-time ingestion and indexing
• Attachment de-duplication for storage optimization
• Immutable logging of communications

Performance depends on correct configuration, infrastructure, and third-party system availability.

Data Ownership

All emails, attachments, metadata, and records stored in PhylaxVault remain the sole property of the customer organization.

PhylaxVault does not claim ownership of customer data.

Customer Responsibilities

Customers are responsible for:

• Proper installation and configuration
• Managing user access and permissions
• Defining retention and compliance policies
• Ensuring lawful processing of data
• Maintaining backup and recovery systems
• Compliance with applicable laws

Payments

• Payments must be made as per agreed pricing or invoice terms
• Fees are non-refundable unless stated otherwise
• Non-payment may result in suspension or termination
• Taxes and duties are the responsibility of the customer

 Support & Maintenance

Support and updates are provided only as per the applicable service or subscription agreement. Availability of updates is not guaranteed unless included in a valid support plan.

Intellectual Property

All intellectual property rights in PhylaxVault, including software, design, documentation, trademarks, and branding, remain the property of Squad System.

No rights are granted except those expressly stated in these Terms.

Disclaimer of Warranties

PhylaxVault is provided on an “AS IS” and “AS AVAILABLE” basis.

We do not guarantee that the software will:

• Be error-free or uninterrupted
• Capture all emails in every environment
• Be compatible with all systems
• Meet all customer requirements

Limitation of Liability

To the maximum extent permitted by law, Squad System shall not be liable for:

• Data loss or corruption
• Business interruption
• Loss of revenue or profits
• Security issues due to misconfiguration
• Indirect or consequential damages

Total liability is limited to the amount paid in the last 12 months.

Termination

Access may be suspended or terminated if:

• Terms are violated
• Payment is not received
• Software is misused or used unlawfully

Upon termination, usage rights immediately cease.

Third-Party Services

PhylaxVault may integrate with third-party services such as Microsoft 365, Exchange, Google Workspace, LDAP, and Active Directory. We are not responsible for third-party availability or policies.

 Governing Law

These Terms are governed by the laws of India. Any disputes shall fall under the jurisdiction of courts in New Delhi, India.

 Changes to Terms

We may update these Terms at any time. Continued use of the website or software means acceptance of the revised Terms.
